This privacy policy (“Privacy Policy”) governs how we, Groundcover Ltd., Groundcover Inc., or any of their affiliates (together, “Groundcover” “we”, “our” or “us”) use, collect, and store Personal Data we collect or receive from or about you (“you”).

Please read this Privacy Policy carefully, so you can understand our practices and your rights in relation to Personal Data. “Personal Data” or “Personal Information” means any information that can be used, alone or together with other data, to uniquely identify any living human being and any information deemed as Personally Identifiable Information by privacy laws. Important note: Nothing in this Privacy Policy is intended to limit in any way your statutory right, including your rights to a remedy or means of enforcement.

This Privacy Policy can be updated from time to time and, therefore, we ask you to check back periodically for the latest version of this Privacy Policy. If we implement significant changes to the use of your Personal Data in a manner different from that stated at the time of collection, we will notify you by posting a notice on our Website or by other means.

1. WHAT INFORMATION WE COLLECT

a. Information provided through the Website. When you visit our website, https://www.groundcover.com/ ("Website"), we collect and process your name, email address, and other information you choose to provide us with when you interact with the Website, for example, when you send us a contact request.

b. Information collected from end-users through the Platform. When you register on your own or on behalf of an entity or organization to use any product(s) or service(s) within Groundcover’s platform ("Platform"), including administrators of an account with Groundcover account, we collect log in details, such as name and email address. For the purposes of this Privacy Policy, “Services” shall refer to all product(s), service(s) or offering(s) made available by Groundcover.

c. Information automatically collected. We may automatically collect certain information through your use of Groundcover's Platform and Website, such as cookie, pixels, tracking technologies and similar identifiers (“Technologies”), your Internet protocol (IP) address, and other device identifiers that are automatically assigned to your device, browser type and language, geo-location information, hardware type, operating system, internet service provider and other information about actions taken through the use of the Platform and Website.

d. Information you provide to us in person. For example, when you visit one of our exhibition booths or attend one of our events or attend conferences we are at and you provide us with your contact details. We will use this information to answer your enquiries or provide additional information to you.

e. Information we collect from online interactions. For example, if you attend a webinar, contact us via social media or otherwise interact with our business, including as a representative of a current / prospective customer, supplier or partner, we track and make a record of those interactions, which may contain your contact details, such as full name, email address, messages and any other information that you decide to provide us with.

2. WHY IS THE PERSONAL DATA COLLECTED AND FOR WHAT PURPOSES?

Depending on which features of the Platform you use, we collect different kinds of information (including Personal Information) about or from you. This Personal Information is necessary for the performance of our contractual obligations towards you and providing you with our Services, to protect our legitimate interests, as well as for compliance with regulatory obligations to which we are subject. In addition, we collect Personal Data to answer your questions, to allow you to sign-up to use the product or contact our team via the Website and to provide support and in some cases, to establish a business relationship with you, to add you to our mailing list and to send you newsletters and other marketing communications. Moreover, we collect this Personal Information in order to analyze your use of our Website and our Platform, to improve our Website and Platform, and to customize your experience. If this information will not be provided, you may not be able to use our Platform (such as opening a Groundcover Account), or certain features of our Platform. In certain instances, we will obtain your consent to the collection of your Personal Information, as appropriate (in which case, you can revoke your consent at any time by approaching us).

Please note that some of the abovementioned Personal Data will be used for detecting, taking steps to prevent, and prosecution of fraud or other illegal activity, to identify and repair errors, to conduct audits, and for security purposes. Personal Data may also be used to comply with applicable laws, with investigations performed by the relevant authorities, law enforcement purposes, and/or to exercise or defend legal claims. In certain cases, we may or will anonymize or de-identify your Personal Data and further use it for internal and external purposes, including, without limitation, to improve the services and for research purposes. “Anonymous Information” means information which does not enable identification of an individual user, such as aggregated information about the use of our services. We may use Anonymous Information and/or disclose it to third parties without restrictions (for example, in order to improve our services and enhance your experience with them). 

3. THE LAWFUL BASES WE RELY ON FOR PROCESSING PERSONAL INFORMATION ARE (IF AND WHEN APPLICABLE): ‍

4. HOW WE PROTECT AND RETAIN YOUR INFORMATION

Security. We have implemented appropriate technical, organizational and security measures designed to protect your Personal Data. However, please note that we cannot guarantee that the information will not be compromised as a result of unauthorized penetration to our servers. 4.2.

Retention of your Personal Data. We retain your Personal Data as follows: (i) where we are required to do so in accordance with legal, regulatory, tax or accounting requirements, or (ii) for us to have an accurate record of your dealings with us in the event of any complaints or challenges, or (iii) if we reasonably believe there is a prospect of litigation relating to your Personal Data or dealings.

5. HOW WE SHARE YOUR PERSONAL DATA 

We may share your Personal Data as follows:

With our business partners with whom we jointly offer products or services. We may also share Personal Data with our affiliated companies. They may combine this Personal Data with other details they hold about you. Unless they provide you with their own privacy policy, they may use your Personal Data for the purposes explained in this Privacy Policy. We are part of the Groundcover group, which is a global organization. For the purposes explained in this Privacy Policy, we may transfer your Personal Data to Groundcover group companies (including service providers operating on their behalf) and other third parties in countries which do not have the same level of data protection laws as those in the country where you are located. Groundcover uses several legal mechanisms, including EU Standard Contractual Clauses, to help ensure that your rights and protections are respected by all companies of the Groundcover group. We use efforts to ensure that each Groundcover group company will comply with the key data protection principles of fair handling of Personal Data and ensuring adequate level of protection of Personal Data.

5.2.

To the extent necessary, with regulators, courts or competent authorities, to comply with applicable laws, regulations and rules (including, without limitation, federal, state or local laws), and requests of law enforcement, regulatory and other governmental agencies or if required to do so by court order;

5.3.

If, in the future, we sell or transfer, or we consider selling or transferring, some or all of our business, shares or assets to a third party, we will disclose your Personal Data to such third party (whether actual or potential) in connection with the foregoing events;

6. YOUR PRIVACY RIGHTS. HOW TO DELETE YOUR ACCOUNT

6.1.

We do not offer our products or services for use by children and, therefore, we do not knowingly collect Personal Data from, and/or about children under the age of eighteen (18). In the event that we become aware that you provide Personal Data in violation of applicable privacy laws, we reserve the right to delete it. 1. The following rights (which may be subject to certain exemptions or derogations) shall apply to certain individuals (some of which only apply to individuals protected by specific laws):

1. You have the right to withdraw consent to the processing, where consent is the basis of processing. 
2. You have the right to access the personal information that we hold and request further details about how we process it, under certain conditions.
3. You have the right to demand rectification of inaccurate personal information about you. We will promptly correct any information found to be incorrect.
4. You have the right to object to unlawful data processing under certain conditions.
5. You have the right to the erasure of past data about you (your “right to be forgotten”) under certain conditions.
6. You have the right to demand that we restrict the processing of your personal information, under certain conditions, if you believe we have exceeded the legitimate basis for processing, the processing is no longer necessary, or if you believe your personal information is inaccurate.
7. You have the right to data portability of personal information concerning you that you provided us in a structured, commonly used, and machine-readable format, subject to certain conditions.‍

6.2.

The personal information we collect is not used for automated decision-making and profiling, except for automated processes in the context of marketing.

You may use an authorized agent to submit a request on your behalf if you provide the authorized agent written permission signed by you. To protect your privacy, we may take steps to verify your identity before fulfilling your request. Subject to legal and other permissible considerations, we will make every reasonable effort to honor your request promptly in accordance with applicable law or inform you if we require further information in order to fulfill your request. When processing your request, we may ask you for additional information to confirm or verify your identity and for security purposes, before processing and/or honoring your request. We reserve the right to charge a fee where permitted by law, for instance if your request is manifestly unfounded or excessive. In the event that your request would adversely affect the rights and freedoms of others (for example, would impact the duty of confidentiality we owe to others) or if we are legally entitled to deal with your request in a different way than initial requested, we will address your request to the maximum extent possible, all in accordance with applicable law.

6.4.

Deleting your account: Should you ever decide to delete your account, you may do so by emailing privacy@groundcover.com. If you terminate your account, any association between your account and personal data we store will no longer be accessible through your account. However, given the nature of sharing on certain services, any public activity on your account prior to deletion will remain stored on our servers and will remain accessible to the public.

7. USE BY CHILDREN

‍We do not offer our products or services for use by children and, therefore, we do not knowingly collect Personal Data from, and/or about children under the age of eighteen (18). 8. INTERACTION WITH THIRD PARTY PRODUCTS

We enable you to interact with third party websites, mobile software applications and products or services that are not owned or controlled by us (each a “Third Party Service”). We are not responsible for the privacy practices or the content of such Third Party Services. Please be aware that Third Party Services can collect Personal Data from you. Accordingly, we encourage you to read the terms and conditions and privacy policies of each Third Party Service.

9. LOG FILES

We use log files. We use such information to analyze trends, administer the Website, track users’ movement around the Website, and gather demographic information.

10. COOKIES

Our Services may utilize “cookies”, anonymous identifiers and other tracking technologies in order to for us to provide our Services and present you with information that is customized for you. A “cookie” is a small text file that may be used, for example, to collect information about activity on the Services. 11. ANALYTIC TOOLS 

• Google Analytics. The Website uses a tool called “Google Analytics” to collect information about use of the Website. Google Analytics collects information such as how often users visit this Website, what pages they visit when they do so, and what other websites they used prior to coming to this Website. We use the information we get from Google Analytics to maintain and improve the Website and our products. We do not combine the information collected through the use of Google Analytics with Personal Information we collect. • FullStory. The Website and the Platform uses FullStory in order to better understand our users’ needs and to optimize this service and experience. FullStory is a technology service that helps us better understand our users experience (e.g. how much time they spend on which pages, which links they choose to click, what users do and don’t like, etc.) and this enables us to build and maintain our service with user feedback. FullStory uses cookies and other technologies to collect data on our users’ behavior and their devices. This includes a device's IP address (processed during your session and stored in a de-identified form), device screen size, device type (unique device identifiers), browser information, geographic location (country only), and the preferred language used to display our website. FullStory stores this information in a pseudonymized user profile. FullStory is contractually forbidden to sell any of the data collected on our behalf. • Google Signals. The Website uses a tool called “Google Signals” to collect information about use of the Website. When we activate Google Signals, some existing Google Analytics features are updated to also include aggregated data from Google users who have turned on “Ads Personalization” (Ads Personalization available at https://support.google.com/ads/answer/2662856/). Audiences that we create in Google Analytics and publish to Google Ads and other Google Marketing Platform advertising products can serve ads in cross device-eligible remarketing campaigns to Google users who have turned on Ads Personalization. Google Analytics collects additional information about users who have turned on Ads Personalization, base across device types and on aggregated data from users who have turned on Ads Personalization. The data is user based rather than session based. The Cross Device reports include only aggregated data. No data for individual users is ever exposed.
